Notice Regarding the Transfer and Integration of Natural Gas Business within the ENEOS Group

ENEOS Holdings, Inc. announces its decision to transfer and integrate the overseas natural gas liquefaction business, the LNG procurement business, and the LNG receiving terminal and gas pipeline operations in Japan, currently conducted by ENEOS Corporation ("ENEOS"), one of the principal operating companies of the ENEOS Group, into ENEOS Xplora Inc. ("Xplora"), another principal operating company responsible for the development and production of oil and natural gas. This integration is scheduled to take effect on April 1, 2026 *1.
Recognizing the increasing importance of low-carbon energy during the transition toward achieving a carbon-neutral society, ENEOS group positions the natural gas business as a growth strategy that contributes to enhancing corporate value. By having Xplora centrally manage the natural gas business from upstream development to downstream operations, including sales. This will enable the optimization of resource allocation and allow us to focus more intensively on this business.
Moving forward, the ENEOS Group will continue to pursue transformation into a robust management structure and portfolio restructuring, as well as implement human capital management initiatives that support such transformation. Through these initiatives, we aim to achieve a return on equity (ROE) of 10% or higher at an early stage. The ENEOS Group will continue to evolve in line with our commitment to "Supporting 'today's normal,' taking the lead for 'tomorrow's normal.'"
*1 The domestic sales business will continue under the ENEOS brand name and is planned to be carried out by Xplora as an agent.
